3. Authorized Users shall not:
- remove, obscure or alter any copyright or other notices, trademarks, logos, service marks or any other proprietary rights appearing in or on the Licensed Content,
- update, change, revise, adapt, reprint, modify, translate, transform or create any derivative work of the Licensed Content or otherwise use any such materials in a manner that would infringe the copyright or other proprietary rights therein. Licensee shall take reasonable measures to ensure that its Authorized Users are informed of the applicability of copyright law and have agreed to the restrictions in this Agreement with respect to the reproduction, use and transmission of the Licensed Content. In the event of violation of the terms and conditions of this Agreement or of applicable copyright law, Jaypee and Licensee agree to take immediate action to suspend access of such Authorized User to the Licensed Content.
- systematically download any Licensed Content, use routines designed to continuously and automatically search and index the Licensed Content (full text and meta data), such as web-crawling or spider programs or engage in any activity likely to burden Licensor’s websites.
- directly or indirectly use or assist any third party to use the Licensed Content for any commercial or monetary purposes including without limitation any sale, resale, loan, distribute, sub-license, transfer or upload of the Content to a commercial entity’s internet website, or otherwise charge a fee for access.
- posting of Licensed Content on personal, commercial or institutional websites except for what has been expressly mentioned herein is not permitted unless Jaypee’s prior written consent is obtained.
- engage in bulk reproduction or distribution of electronic or print copies of Licensed Content for sales/promotional purposes unless permitted by Jaypee in writing.
- reverse engineer, decompile or disassemble any software included in Website or the Licensed Content.
- Use no copyright notices, trademark or proprietary notices, author attributions or other notices or disclaimers in the Licensed Content except what is permitted in writing.
4. Operator of website may control access to the Licensed Content through Internet Protocol (“IP”) authentication, as per the industry standards or another identification method agreed upon by Parties. Jaypee reserves the right to monitor, investigate and analyze all available data including logfiles, to detect misuse of the Licensed Content by Authorized Users. Licensor will inform Licensee in any case of misuse. In the event of any unauthorized use of the Licensed Content by an Authorized User, (a) Jaypee may terminate the access of the Internet Protocol (“IP”) address(es) from which such unauthorized use occurred, and/or (b) Licensee shall terminate such Authorized User’s access to the Licensed Content upon Jaypee’s request.
5. Jaypee shall collect data on usage of the Licensed Content and process these in accordance with Applicable Laws relating to privacy and data protection laws (the “Usage Data”). The Usage Data will be made available for download by Licensee through the Website and should only be used for internal purposes. Such Usage Data will be provided to the Licensee on weekly basis.
6. Authorized Users shall use its best efforts to safeguard the intellectual property, confidential information and proprietary rights of the Licensed Content.
7. Information displayed on this website is upon the condition that the persons receiving the same will make their own determination as to its suitability for their purposes prior to use or in connection with the making of any decision.
